Terms of Service

Terms of Service

These Terms of Service govern your access to and use of the Novantra platform, including the Managed Cloud service and the Sovereign self-hosted deployment, together with the related websites, applications, and APIs (the “Service”). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing the Service, or installing a Novantra software artifact, you confirm that you have read, understood, and accepted these Terms. If you are entering into these Terms on behalf of an organisation, you represent that you have authority to bind that organisation.

2. Description of the Service

Novantra provides a governed operations platform for regulated industries. The Service is offered in three tiers: a Free tier with capped usage, a Managed Cloud subscription operated by Novantra, and a Sovereign self-hosted deployment installed on infrastructure that you control. Specific features available to your organisation depend on the tier you select and the entitlements associated with your account.

3. Account Registration

You are responsible for the accuracy of the information provided during account registration, for maintaining the confidentiality of your credentials, and for all activity that occurs under your account. Notify us promptly if you suspect any unauthorised use.

4. Subscriptions, Plans, and Billing

Paid tiers are offered on an annual subscription basis. Subscription fees, payment terms, and renewal conditions are agreed in your order form or subscription invoice. Unless otherwise stated, subscriptions renew automatically at the end of each term. You remain responsible for applicable taxes, including VAT where required by your jurisdiction. Online self-service checkout is not currently offered; all paid subscriptions are concluded through an order-form or invoice process coordinated with our team.

5. Free Tier

The Free tier is offered without charge and without time limit, subject to the usage caps published on the pricing page. We may adjust the Free-tier caps and feature set from time to time on reasonable notice. The Free tier does not include service-level commitments and is provided on an as-is basis.

6. Customer Data and Content

You retain all rights in the data, documents, and content that you and your users submit to the Service (“Customer Data”). You grant Novantra a limited licence to host, process, and transmit Customer Data solely to provide the Service to you. For Sovereign deployments, Customer Data remains within your infrastructure; Novantra does not access it as part of providing the licensed software.

7. Intellectual Property

The Service, including all software, designs, trademarks, and documentation, is owned by Novantra or its licensors and is protected by intellectual property laws. These Terms grant you only the limited rights expressly set out in your subscription or licence; no other rights are granted by implication.

8. Confidentiality

Each party agrees to protect the other party’s confidential information with the same degree of care it uses for its own and not to disclose it except as required to perform under these Terms or as required by law.

9. Service Levels and Support

Support and service-level commitments differ by tier. Free is provided on an as-is basis with no service-level commitment and no support channel beyond the public documentation. Managed Cloud includes basic and priority email support depending on your plan; availability targets are not commitment-backed at launch and reasonable-effort response is the governing standard. Sovereign, when generally available, will include SLA-backed support and implementation; the specific availability, response, and resolution targets that apply to a Sovereign subscription are agreed in the order form. Where a service-level commitment is referenced in these Terms but the underlying SLA is still being finalised, this is marked “To be confirmed before general availability”.

10. Suspension and Termination

We may suspend or terminate your access to the Service for material breach of these Terms, including non-payment, violation of acceptable use, or where suspension is required to protect the Service or other customers. You may terminate your subscription in accordance with the notice provisions in your order form. Following termination, account and organisation data is deleted in line with the retention windows published in our General Privacy Statement.

11. Disclaimers and Limitation of Liability

To the maximum extent permitted by law, the Service is provided on an as-is and as-available basis. Novantra disclaims all implied warranties to the extent permitted by law. The total liability of Novantra arising out of or in connection with the Service is limited as set out in your subscription or order form.

12. Indemnification

You agree to indemnify Novantra against claims arising out of your violation of these Terms, your unlawful use of the Service, or your Customer Data infringing the rights of a third party. Specific allocations of indemnification are agreed in your subscription or order form.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified through the Service or by email to the account contact. Continued use of the Service after the effective date of changes constitutes acceptance of the updated Terms.

14. Governing Law

These Terms are governed by the laws specified in your order form. In the absence of an order-form selection, the governing law is the law of the jurisdiction in which Novantra is established. Mandatory consumer-protection rules of your country of residence continue to apply where relevant.
